Regarding the overall composition of the Board of Directors, the Company's ideal goal is to assemble members with diverse genders, ages, expertise, and backgrounds. Additionally, the 'Corporate Governance Best Practice Principles' stipulate that directors who are concurrently serving as company executives should not exceed one-third of the total number of board seats. Furthermore, there should be no spousal or close familial relationships (within two degrees of kinship) among the board members.
The Board of Directors of the Company consists of 11 members, including 3 independent directors. In the 20th term of the board, aside from one seat being held by a labor director recommended by the Company’s labor union, there are no directors who also serve as executives. The expertise of the board members spans various fields, including administrative management, financial accounting, industrial management, occupational health and safety, environmental protection, steel industry, and labor welfare. Furthermore, none of the independent directors have been re-elected for three consecutive terms.
